1. Acceptance of Terms

By purchasing or using the WaveAlign desktop application (the "Software"), or by accessing the WaveAlign website (the "Site"), operated by Brehm, Osipovs & Zimmermann Software GbR, Birkenstr. 111, 40233 Düsseldorf, Germany ("WaveAlign," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not purchase or use the Software or Site.

These Terms apply to all visitors, users, and others who wish to access or use the Site or Software.

2. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will indicate the date of the last revision at the top of the Terms. Your continued use of the Software or Site after any such changes constitutes your acceptance of the new Terms.

3. Privacy Policy

Your use of the Site and Software is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal data. Please review our Privacy Policy.

4. License Grant

Upon purchasing WaveAlign, we grant you a non-exclusive, non-transferable, non-sublicensable lifetime license to install and use the Software on a single device (the "Licensed Device") for your personal or professional use, subject to these Terms.

This license covers the version of the Software available at the time of purchase. While we will endeavor to provide bug fixes and updates at our discretion, you have no contractual entitlement to any updates, new features, or future major versions. If you are unsatisfied with the Software as purchased, you may make use of our 14-day money-back guarantee as described in Section 8.

5. Device Management

Your license is valid for one device at a time. You may reassign your license to a different device through your account, subject to a limit of one reassignment per calendar month. Excessive or automated reassignment attempts beyond this limit may be considered a violation of these Terms.

6. Restrictions

You agree not to:

  • Copy, modify, distribute, sell, sublicense, or transfer your license or the Software to any third party.
  • Share your license key with any other person or entity.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
  • Register the Software on multiple devices simultaneously or in patterns inconsistent with normal single-user behavior.
  • Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to, interfere with, or disrupt any servers or systems connected to the Software or Site.

7. Termination

We reserve the right to terminate your license immediately and without refund if we determine, at our reasonable discretion, that you have violated any provision of these Terms — including but not limited to sharing your license key, registering the Software on multiple devices in a pattern inconsistent with normal use, reverse engineering the Software, or reselling or sublicensing your license.

Upon termination, you must cease all use of the Software and delete all copies in your possession. No refund will be issued in cases of termination due to a Terms violation.

8. Pricing, Payment, and Refunds

Purchases are processed through Polar.sh, our third-party payment provider. By completing a purchase, you agree to Polar.sh's applicable terms and conditions. WaveAlign does not directly handle or store your payment information.

We offer a 14-day money-back guarantee from the date of purchase. If you are unsatisfied with the Software for any reason within this period, please contact us at contact@wavealign.app to request a full refund. Refund requests submitted after the 14-day window cannot be honored.

This money-back guarantee is your primary remedy in cases where the Software does not perform in accordance with its system specification and we are unable to resolve the issue. It does not affect any statutory rights you may have under applicable German or EU law.

9. Software Specification and Warranty

We have designed WaveAlign to perform in accordance with its published system specification. However, as with any software, we cannot guarantee that it will be entirely free of bugs or errors in every individual environment or configuration.

If you experience an issue with the Software that prevents it from performing as specified, please contact us at contact@wavealign.app. If we are unable to resolve the issue to your satisfaction and your purchase is within the 14-day money-back period, you are entitled to a full refund as described in Section 8.

To the extent permitted by applicable law, we do not provide any additional warranties, express or implied, beyond what is described in these Terms and your statutory rights under German and EU consumer protection law.

10. End of Life

In the event that WaveAlign discontinues the Software, we will release a final standalone version of the Software in which all server-side dependencies have been removed, allowing you to continue using it indefinitely on your Licensed Device. We will provide reasonable advance notice of any such discontinuation.

11. Limitation of Liability

To the maximum extent permitted by applicable law, WaveAlign and its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of profits, or business interruption — arising from your use of or inability to use the Software or Site.

Where we breach a material contractual obligation (Kardinalpflicht) — an obligation whose fulfilment is essential to the proper performance of these Terms and on which you may reasonably rely, including not destroying your files during processing — our liability for simple negligence is limited to the foreseeable, typical damage and is not capped at the license fee. Nothing in these Terms limits or excludes liability for fraud, intent, gross negligence, willful misconduct, injury to life, body or health, liability under the Produkthaftungsgesetz, or any other liability that cannot be excluded under applicable German or EU law.

12. Intellectual Property

The Software and its original content, features, and functionality are and will remain the exclusive property of WaveAlign and its licensors. The Software is protected by copyright, trademark, and other applicable laws.

Your purchase grants you a license to use the Software as described in these Terms. It does not transfer any ownership or intellectual property rights to you.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of WaveAlign.

13. Links to Other Websites

Our Site may contain links to third-party websites or services not owned or controlled by WaveAlign. We have no control over and assume no responsibility for the content, privacy policies, or practices of any such third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.
